Effective Date: March 1, 2026
OnlyRent. Only Rent Technology (S) Pte. Ltd.
Article 1 Platform Information and Legal Nature
Only Rent (hereinafter referred to as the "Platform") is operated by Only Rent Technology (S) Pte. Ltd., a company duly incorporated and validly existing under the laws of Singapore. The Platform is an online technology-based matching platform that provides technical services enabling service providers (hereinafter referred to as "Service Providers") and service requesters (hereinafter referred to as "Customers") to publish information, establish contact, facilitate transactions, and integrate third-party payment services. The Platform only provides information display and transaction-related technical infrastructure. It does not participate in the actual performance of any services and shall not be deemed the agent, employee, partner, or joint operator of any Service Provider or Customer. Any service contract formed between a Service Provider and a Customer is entered into directly between such parties, and the Platform is not a party to such contract. The legal status of a Service Provider offering services through the Platform is that of an independent contractor, and not an employee, agent, or representative of the Platform. No employment relationship, labor relationship, or partnership exists between the Platform and any Service Provider. The Platform assumes no obligations under labor laws, including but not limited to wage payment, overtime pay, labor insurance, occupational injury compensation, pension contributions, or any other similar liabilities. By using the Platform, you acknowledge that you have read, understood, and agreed to all terms of these Terms and Conditions, and you further agree that your electronic acceptance shall have the same legal effect as a handwritten signature.
Article 2 Eligibility and Account Management
Users of the Platform must be at least eighteen (18) years old and have full legal capacity. Persons under the age of eighteen (18) may not register for or use the Platform's services. Users must provide true, complete, and valid personal information upon registration. The Platform may require mobile phone verification, email verification, or the upload of government-issued identification documents. If a user fails to complete verification or provides false information, the Platform may restrict, suspend, or terminate such user's account and access to related functions. Users are responsible for properly safeguarding their account credentials and passwords. The Platform shall not be liable for any loss arising from unauthorized use of an account unless such loss is attributable to the Platform.
Article 3 Nature of Services and Risk Disclosure
The Platform is solely a technology-based matching platform and makes no express or implied representations or warranties regarding the authenticity, legality, quality, suitability, or performance capability of any service content. The Platform does not guarantee continuous availability, error-free operation, or fitness for any particular purpose. Service Providers and Customers shall independently evaluate the risks of any transaction and shall bear all legal liabilities arising from the performance of services. Any personal injury, property damage, performance dispute, or tort liability arising from service performance shall be borne solely by the transacting parties. The Platform does not provide any insurance coverage and is not responsible for whether any user has obtained commercial liability insurance, accident insurance, or any other insurance. To the fullest extent permitted by law, the Platform shall not be liable for any indirect, incidental, punitive, or consequential damages. The Platform's total liability to any single user shall be limited to the total amount actually paid by such user to the Platform during the preceding twelve (12) months. The Platform only provides technical verification and information display mechanisms, and does not guarantee the absolute authenticity of any user's identity, service capability, or performance integrity. Even if a user has completed real-name verification or third-party payment review procedures, such procedures are only part of the compliance measures and do not constitute any guarantee of such user's conduct or qualifications. Users shall independently assess transaction risks and bear the corresponding consequences.
Article 4 Service Provider Qualifications, Payment Processing, and Tax Responsibilities
Any Service Provider who completes transactions and receives compensation through the Platform must have full legal capacity and must lawfully provide true and complete identity information and related documents. Transaction funds shall be collected and processed by the third-party payment institution ECPay Co., Ltd. in accordance with its legal and compliance procedures, and disbursed in accordance with the Platform's rules. Where the Platform is legally deemed to be a withholding agent or the actual paying entity, the Platform may, in accordance with the applicable tax laws of the R.O.C. (Taiwan) and the National Health Insurance Act, withhold individual income tax and second-generation National Health Insurance supplementary premiums from the compensation payable to the Service Provider based on the Service Provider's status, the nature of the income, and applicable statutory standards, and may complete the required statutory filing procedures. The withholding rates, applicable thresholds, calculation methods, and order of withholding under the preceding paragraph shall be handled in accordance with the laws then in force, the Platform's published rules, and the practical interpretations of the competent authorities. The Platform's withholding and filing actions are solely for the purpose of complying with legal obligations and shall not create any employment, labor, partnership, agency, or other subordinate relationship between the Platform and any Service Provider. Any service contract formed between a Service Provider and a Customer is entered into directly between such parties, and the Platform is not a party to such contract. Service Providers shall be solely responsible for filing their annual income tax returns in accordance with applicable law. Any amount withheld is only a provisional statutory withholding, and the final tax liability shall be determined based on the Service Provider's annual tax filing. The Platform does not guarantee any final tax outcome for any Service Provider. If applicable laws, competent authority interpretations, or payment structures change, the Platform may lawfully adjust the withholding mechanism, payment method, or cooperating payment institution, and shall announce such changes in accordance with applicable requirements.
Article 5 Platform Service Fees and Revenue Allocation Mechanism
For each successfully completed and confirmed order, the Platform shall charge the Service Provider a platform service fee based on the total transaction amount of the order. The current standard fee rate is twenty-five percent (25%). The "total transaction amount of the order" referred to in the preceding paragraph means the full amount actually paid by the Customer for the relevant service, excluding any taxes required by law to be withheld or any amounts that may not lawfully be treated as the Platform's revenue, if any. The platform service fee shall be calculated based on the total transaction amount of the order and shall be deducted first from the transaction funds after the order has been completed and confirmed. Such platform service fee constitutes consideration for the Platform's provision of technical matching, system infrastructure, data processing, payment integration, information security, risk control, credit rating mechanisms, customer support, marketing promotion, and overall platform maintenance services, and does not form part of the Service Provider's income. The remaining balance after deduction of the platform service fee shall constitute the Service Provider's compensation. Any individual income tax and second-generation National Health Insurance supplementary premiums required by law shall be withheld from such compensation in accordance with Article 4. The Platform may adopt differentiated or tiered fee rates based on Service Provider level, transaction volume, service type, promotional activities, cooperation plans, or other operational strategies. Specific fee standards and applicable conditions shall be as announced by the Platform. Transaction funds are currently collected, processed, and allocated through the third-party payment institution ECPay Co., Ltd. The Platform reserves the right to change its payment service partners or adjust the fund allocation mechanism according to operational needs. Service Providers and Customers shall not complete transactions privately or otherwise evade the Platform's service fees after establishing contact through the Platform. If verified, the Platform may take measures according to the severity of the violation, including warnings, functional restrictions, fund freezing, account termination, or claims for damages.
Article 6 Prohibited Conduct
Users shall not use the Platform to engage in any unlawful or improper conduct, including but not limited to prostitution or sexual services, gambling, drug transactions, illegal financial activities, unauthorized professional medical practice, fraud, pyramid selling, or any conduct that infringes the rights of third parties. The Platform may, without prior notice, remove violating content, freeze accounts, restrict fund flows, or terminate services, and may cooperate with law enforcement authorities where necessary.
Article 7 Rating System and Algorithmic Authority
The Platform operates a mutual rating system. Ratings are calculated based on a dynamically weighted average method. The Platform may conduct ranking, credit scoring, or risk assessment based on automated processing mechanisms. The Platform reserves the right to adjust rating rules, ranking logic, and weighting ratios at any time. If abnormal ratings result from system errors, technical issues, or reasons not attributable to the user, the Platform may make corrections based on its internal review results.
Article 8 Breach, Cancellation, and Account Sanctions
After accepting an order, a Service Provider shall perform the service as agreed. If, without justified reason, the Service Provider fails to perform, arrives late, leaves early, or materially breaches the service commitment, and such conduct is confirmed by the Platform upon review, the Platform may impose sanctions depending on the seriousness of the violation, including warnings, restrictions on order acceptance, reduction of ranking weight, account suspension, or account termination. "Justified reason" under the preceding paragraph includes, but is not limited to, force majeure, sudden serious illness, major traffic accidents, or other causes not attributable to the Service Provider. The Service Provider shall notify the Platform within a reasonable period and provide relevant supporting evidence. A Customer may cancel an order at any time without charge before the Service Provider has accepted the order. After the Service Provider accepts the order, the system will provide the Customer with a fifteen (15) minute cooling-off cancellation period. If the order is cancelled within such period, the Customer shall be entitled to a full refund. After the expiration of the aforementioned cooling-off period, the order shall be deemed final and binding. Except where cancellation is due to reasons not attributable to the Customer, including but not limited to the Service Provider's failure to perform, material service defects, or circumstances where a refund is required by law, the Customer may not arbitrarily cancel the order, and the Platform will generally not provide a refund. If the Customer fails to appear at the agreed time, loses contact without justification, or refuses to perform the transaction, and such conduct is confirmed by the Platform upon review, the Customer shall be deemed in breach, and the Platform may refuse to provide a refund. If a Customer or Service Provider objects to a breach determination or sanction decision, such party may submit an appeal in accordance with the dispute resolution mechanism under Article 14 of these Terms and Conditions. The application of the foregoing breach handling and refund provisions shall comply with the principle of good faith and any mandatory provisions of consumer protection laws. The Platform may, based on risk management, legal compliance, or operational needs, adjust the relevant performance rules, sanction mechanisms, or cancellation policies, and shall announce such adjustments in accordance with applicable requirements.
Article 9 Intellectual Property and Content License
The Platform's code, designs, trademarks, system architecture, and content are owned by the Company or its lawful licensors. No person may use them without prior written consent. Any public content posted by users on the Platform is licensed to the Platform on a worldwide, non-exclusive, sublicensable basis for platform operation, display, and marketing purposes.
Article 10 Force Majeure
The Platform shall not be liable for any interruption, delay, or inability to perform caused by natural disasters, war, government orders, major system attacks, power outages, communication failures, or any other force majeure events.
Article 11 Governing Law and Dispute Resolution
The formation, validity, interpretation, and performance of these Terms and Conditions shall, in principle, be governed by the laws of Singapore. However, if the laws of the user's place of residence or the actual place of service performance contain mandatory provisions regarding consumer protection, labor protection, personal data protection, or other matters that must apply, such mandatory provisions shall prevail. The parties agree that, except for matters that may not be arbitrated by law, any dispute arising out of or in connection with these Terms and Conditions or the Platform's services shall be submitted to the Singapore International Arbitration Centre (SIAC) for arbitration in accordance with its then-current arbitration rules. The seat of arbitration shall be Singapore, and the language of arbitration shall be English. The Platform reserves the right to initiate legal proceedings or apply for injunctive or preservative relief before any court having lawful jurisdiction.
Article 12 Language Priority, Severability, and Entire Agreement
In the event of any discrepancy between the Chinese and English versions of these Terms and Conditions, the English version shall prevail. If any provision of these Terms and Conditions is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. These Terms and Conditions constitute the entire agreement between the user and the Platform and supersede all prior oral or written agreements.
Article 13 User Indemnification, Cooperation with Authorities, and Survival
The user agrees that if the Platform, Only Rent Technology (S) Pte. Ltd., or its directors, employees, agents, partners, or affiliates suffers any loss, claim, demand, administrative penalty, or legal proceeding as a result of the user's breach of these Terms and Conditions, violation of applicable laws, or infringement of any third party's rights, the user shall bear full responsibility and shall indemnify the Platform for all resulting losses, costs, and expenses, including reasonable attorneys' fees, litigation costs, and handling expenses. The Platform may cooperate with investigations, orders, or requests from judicial authorities, competent authorities, or other legally authorized institutions, and may provide necessary data or information to the extent permitted by law. The user understands and agrees that where the Platform lawfully cooperates with such investigations or requests, the Platform shall not thereby incur any contractual or tort liability to the user. The provisions relating to limitation of liability, intellectual property, content licensing, user indemnification, and dispute resolution shall survive the termination of any account, discontinuation of services, or termination of these Terms and Conditions.
Article 14 Order Disputes, Customer Service Handling, and Refund Mechanism
If a Customer or Service Provider has any dispute regarding service quality, performance, amount calculation, or any other transaction-related matter, such party shall submit a complaint through the Platform's customer service system within twenty-four (24) hours after order completion and provide relevant supporting evidence, including but not limited to communication records, photographs, videos, transaction records, or other supporting documents. The Platform may temporarily freeze the relevant funds for risk control and dispute handling purposes and may notify both parties to provide explanations or supplementary materials within a designated period. The Platform's customer service team shall conduct a preliminary review in accordance with internal review procedures, including confirmation of evidence completeness, verification of transaction records, and risk assessment. Where necessary, the Platform may request additional explanations or evidence from either party. The Platform only provides coordination and review mechanisms and is not an arbitrator or judicial authority. The Platform's handling result is an operational determination made based on the information available at the time and shall not affect either party's right to seek judicial remedies in accordance with applicable law. If a Service Provider fails to perform without justification, and such failure is confirmed upon review, the Platform may assist in processing a refund and may impose corresponding sanctions on the Service Provider's account. If a Customer files a malicious complaint, provides false information, or abuses the refund mechanism, the Platform may restrict the Customer's account or terminate services according to the seriousness of the violation. Unless otherwise required by mandatory law, the Platform does not guarantee that the outcome of any dispute handling will necessarily conform to either party's claims.
Article 15 Fund Disbursement and Risk Control
Disbursement of funds after order completion shall be handled in accordance with the operating procedures of the third-party payment institution and the processing time of relevant banks. Actual receipt time may be delayed due to financial institutions, holidays, or risk review procedures. Where there are suspicions of fraud, anti-money laundering review requirements, or investigations by competent authorities, the Platform or the third-party payment institution may lawfully suspend or delay the disbursement of relevant funds. Users understand and agree that fund processing is subject to the rules of the third-party payment institution, and the Platform is not responsible for bank processing times or the results of third-party reviews. Any risk control decisions, account freezes, delayed disbursements, or transaction rejections made by any third-party payment institution, bank, or other financial service provider are independent decisions made by such institutions in accordance with their legal compliance obligations and internal policies, and do not constitute decisions or acts of the Platform. The Platform shall not be responsible for the review standards or operational results of such third parties.
Article 16 User Representations and Warranties
Users represent and warrant that: 1. the information and service content they provide are true, lawful, and do not infringe the rights of any third party; 2. where the services provided require professional qualifications or licenses, such qualifications or licenses have been lawfully obtained; 3. they will not use the Platform for any unlawful or improper activities; and 4. any request posted by a Customer is lawful and does not involve any unlawful purpose. If any breach of the above representations causes loss to the Platform or any third party, the user shall bear full indemnification liability.
Article 17 Account Sanction Mechanism
Depending on the seriousness of the violation, the Platform may impose the following measures: 1. warning; 2. restriction of certain functions; 3. account suspension; 4. freezing of funds; and 5. permanent account termination. Where fraud, serious infringement, violent threats, prostitution, gambling, drugs, or other major unlawful conduct is involved, the Platform may permanently terminate the relevant account immediately without prior notice.
Article 18 Infringement Complaints and Takedown Mechanism
Any rights holder who believes that their intellectual property rights or other lawful rights have been infringed may submit a written notice to the Platform together with reasonable supporting documentation. The Platform may temporarily remove the relevant content after reasonable review. If the user submits a counter-notice with reasonable explanations, the Platform may restore the content or advise the parties to resolve the matter through legal channels.
Article 19 Notices and Service
The Platform may provide notices to users by in-platform announcements, application notifications, SMS messages, or email. Any notice shall be deemed duly delivered within a reasonable period after it is sent. Users shall ensure that their contact information remains current and valid.

To ensure the highest standards of child safety, Only Rent maintains a zero-tolerance policy toward any form of child sexual abuse, exploitation, grooming, or any other activity that endangers or exploits minors. Users are strictly prohibited from creating, uploading, posting, transmitting, sharing, requesting, promoting, or distributing any content, communication, or activity involving the sexual abuse, exploitation, or endangerment of children.
